A private equity-backed operator running 300 Taco Bell units had just closed on the acquisition of a 7-unit portfolio as part of an M&A transaction. They retained Century Partners to source portfolio offers for the disposition of the underlying real estate and agreed to execute a 20-year sale-leaseback across all seven properties.
Century Partners sourced an off-market, institutional portfolio offer for the seven units at $19.3M, a 5.30% cap rate. The transaction significantly lowered the operator's basis in the investment.
Mergers and acquisitions become far less impactful on cashflow when a sale-leaseback is executed simultaneously with the M&A. The viability of this strategy was accredited to the client's strong credit and large-scale operating experience, which made the portfolio attractive to the purchaser, a major REIT.
